WRB ENTERPRISES, INC. TO ACQUIRE MAJORITY INTEREST IN DOMINICA ELECTRICITY SERVICES, LTD.

April 26, 2004 (Tampa, Florida, USA) – Tampa-based WRB Enterprises, Inc. (WRB) announced today an agreement to acquire a majority interest in Dominica Electricity Services, Ltd. (Domlec), the sole electric utility for the Commonwealth of Dominica. The seller is UK-based CDC Group plc.

The acquisition will be a joint partnership with Dominica Social Security Scheme (DSS) and the people of Dominica . WRB will own slightly more than 50% of Domlec and will serve as the lead partner, providing the required technical and financial leadership. Further details will be provided at a press conference in Dominica within the next 10 days.

We look forward to a long and successful involvement in Dominica as we continue to expand our partnerships in the region.”

WRB has been operating in the Caribbean for more than 25 years and continues to expand through acquisition and growth of its current operations in electric utilities, cable television and telecommunications. In addition to Domlec, WRB operates Grenada Electricity Services and Turks & Caicos Utilities, Ltd. (which includes the islands of Grand Turk and Salt Cay).

In addition to its Caribbean holdings, WRB has more than 50 years of experience and holdings in heavy equipment, banking, real estate and other industries. The company is one of the largest shareholders of the Bank of Tampa ( Florida ) and Center State Banks ( Florida ). In real estate, WRB owns more than 2,000-acres of property near Dade City , Florida which includes a native tree nursery and other industrial and agricultural properties throughout the Southeastern U.S. In natural resources, WRB is active in management and protection, mitigation banking, biomass energy and water resource development.

DSS is a statutory body of the Commonwealth of Dominica set up in 1976 to manage the national insurance program for public and private sector employees in Dominica . The Dominica Social Security Scheme provides short term income replacement benefits, as well as age, survivors' and invalidity pensions. Surpluses are invested in both public and private sector projects, including equity participation.

Terms of the Domlec sale, which will close on May 7, 2004, were not released.
